Terms of Service

This End User License Agreement ("EULA") is a legal agreement between you and Original Device LLC governing your use of the TL;2DO mobile application and related services ("Software").

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this EULA.

1. License Grant

Subject to your compliance with the terms of this EULA, Licensor grants you a worldwide, non-exclusive, non-transferable, revocable license to:

(a) Download, install, and use the Software for both personal and commercial purposes on devices that you own or control;

(b) Access and use the features, content, and services made available through the Software;

(c) Use the Software in your business operations, provided such use complies with all applicable laws.

2. License Restrictions

You may not:

(a) Copy, modify, reverse engineer, decompile, or create derivative works of the Software;

(b) Remove or alter any proprietary notices;

(c) Distribute, sublicense, lease, rent, or transfer the Software;

(d) Use the Software to develop competing products;

(e) Use the Software for any illegal purpose.

3. Local-First Architecture

TL;2DO is designed with a privacy-first, local-first architecture:

(a) Local Processing: Your credentials and API keys are stored locally using platform-native encrypted storage (iOS Keychain / Android KeyStore). We do not have access to these credentials.

(b) No Cloud Sync: Your data is processed and stored locally on your device.

(c) Bring Your Own Key (BYOK): You are responsible for obtaining and managing your own API keys for third-party AI services.

(d) Direct Connections: The Software connects directly from your device to third-party services using your credentials.

4. Third-Party Services

The Software integrates with various third-party services including:

- AI Services: Google Gemini API, Groq API

- Email Providers: IMAP-compatible servers

- Chat Platforms: Slack, Discord, Microsoft Teams, Chatwork, LINE WORKS

- Project Management: Jira, Trello, Redmine

Your use of these services is subject to their respective terms of service and privacy policies.

5. Commercial Use Terms

If using the Software for commercial purposes, you are solely responsible for ensuring compliance with all applicable laws and regulations. You shall not use the Software to process protected health information (PHI) or payment card information (PCI) without separate written agreement.

6. Ownership

The Software, including all content, features, functionality, and intellectual property rights therein, are and will remain the exclusive property of Licensor and its licensors. The Software is protected by copyright, trademark, and other laws of Japan and foreign countries.

7. Fees and Payment

The Software offers a freemium model:

(a) Free Tier: Basic functionality with limited task visibility.

(b) Premium Subscription: Pricing displayed in App Store/Google Play. Premium unlocks full task visibility.

(c) Digital Delivery: Premium features delivered immediately upon payment.

(d) No Refunds: Due to immediate digital delivery, refunds are not provided. Subscription cancellation through app store settings.

8. Termination

This EULA is effective until terminated. We may terminate this EULA at any time if you fail to comply with any term. Upon termination, all rights granted to you will immediately cease.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. LICENSOR DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT. AI RESULTS SHOULD BE REVIEWED AND VERIFIED BY YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Licensor from any claims arising from your violation of this EULA, your use of the Software, or your use of third-party services accessed through the Software.

12. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including U.S. and Japanese export restrictions.

13. Governing Law

This EULA shall be governed by the laws of Japan. Any disputes shall be resolved in the courts located in Osaka, Japan.

14. Modifications

Licensor reserves the right to modify this EULA at any time. Material changes will be notified through the Software.

15. General Provisions

This EULA constitutes the entire agreement between you and Licensor regarding the Software.
